Bylaws

Article I – Name

Section 1: The name of the club shall be “Colorado Backgammon Club”.

Article II – Purpose

Section 1: The club exists to provide backgammon playing opportunities in Colorado, primarily serving the Denver metro area and front range.

Article III – Affiliation

Section 1: The club shall be affiliated with Denver Backgammon and the United States Backgammon Federation (USBGF).

Article IV – Not for Profit

Section 1: The Colorado Backgammon Club shall not be operated for profit. No part of its tournament fees, contributions, assets or net income shall benefit any individual. Cash prizes, trophies, or other awards for backgammon events shall not be considered benefits under this article.

Article V – Membership

Section 1: Club membership is open to all interested USBGF members without discrimination, subject to any qualifications (such as dues, entry fees and participation) required by the club officers.

Section 2: All members have the duty and/or privilege:

  • To aid in the fulfillment of the club purpose.
  • To support and uphold the decisions of the officers.
  • To participate in club events.

Section 3: Club membership is based on the code of ethics established by the USBGF. Players privileges to participate may be suspended by the club officers at any time and for any duration, for any violations of the USBGF code of ethics.

Article VI – Officers

Section 1: The officers of the club shall be the Director, the Treasurer, and the Secretary.

Section 2: The officers shall have the right to censure, suspend or expel a member for conduct unacceptable to the Club. Any permanent action taken against a member requires a majority vote by the officers.

Section 3: Duties of the Director include:

  • Presiding officer of the club except as otherwise provided in the bylaws.
  • Creating and executing tournaments and other special events.
  • Monitor and assist other officers in carrying out their respective duties.
  • Develop and maintain communication platforms such as Meetup and the web site.
  • Appointing of assistants or committees as needed to perform special tasks.
  • Receive and answer all club correspondence.
  • To provide that the purpose of the club is fulfilled.

Section 4: Duties of the Treasurer include:

  • Maintain records of all club income and expenses.
  • Collect and record all fees at club events.
  • Make all disbursements authorized by the officers.
  • Other duties assigned by the Director.
  • Perform duties of the Director in the absence of the Director.

Section 5: Duties of the Secretary include:

  • Record and maintain club membership information.
  • Notify membership of upcoming meetings and events.
  • Record and maintain club bylaws and other documentation.
  • Other duties assigned by the Director.
  • Perform duties of the Director in the absence of the Director and Treasurer.

Article VII: Dissolution

Section 1: The Colorado Backgammon Club may be dissolved with the unanimous approval of the club officers and a two-thirds majority vote by the club membership.

Section 2: In the event of dissolution the net assets of the club shall be distributed as follows:

  • All liabilities and obligations shall be paid, satisfied, and discharged or adequate provisions shall be made thereof.
  • All remaining assets shall be distributed back to the club membership as deemed appropriate by the officers.

Article VIII: Amendments

Section 1: These Bylaws may be ratified or amended at any time by a majority vote of the club officers.
